TERMS & CONDITIONS OF SALE

These Terms and Conditions of Sale apply to products sold by Granville Biomedical Inc. Please review these terms carefully before placing an order.

1. DEFINITIONS

For the purposes of these Terms and Conditions:

“Granville Biomedical,” “the Company,” “we,” “us,” or “our” refers to Granville Biomedical Inc.

“Customer,” “you,” or “your” refers to the individual, institution, organization, distributor, or other party purchasing products from Granville Biomedical.

“Products” refers to any product, component, replacement component, equipment, material, or other item sold or supplied by Granville Biomedical.

2. APPLICATION OF TERMS

These Terms and Conditions apply to orders placed directly with Granville Biomedical unless otherwise agreed to in writing.

Together with any applicable quotation, invoice, purchase agreement, distributor agreement, or other written agreement accepted by Granville Biomedical, these Terms and Conditions constitute the terms governing the applicable sale.

Any amendment, waiver, or variation must be agreed to in writing by an authorized representative of Granville Biomedical.

3. ORDERS

Placement of an order constitutes an offer to purchase Products from Granville Biomedical. Orders are subject to acceptance, product availability, applicable payment requirements, and these Terms and Conditions.

Granville Biomedical reserves the right to decline or cancel an order prior to shipment where reasonably necessary, including in circumstances involving product availability, pricing or administrative errors, regulatory or shipping restrictions, suspected fraud, or other circumstances preventing fulfilment.

Any requested changes to product specifications, quantities, customization, or other order requirements must be approved by Granville Biomedical and may result in additional charges or changes to the anticipated delivery timeline.

4. PRICING

Prices are displayed or quoted in the applicable currency and are subject to change without notice prior to acceptance of an order.

Unless otherwise stated, quotations issued by Granville Biomedical are valid for 30 days.

Applicable taxes, shipping charges, customs duties, tariffs, brokerage fees, import charges, and other applicable fees are additional unless expressly stated otherwise.

If circumstances outside Granville Biomedical's reasonable control materially affect the cost of fulfilling an order before shipment, including significant changes to government-imposed tariffs, duties, taxes, transportation costs, or imported component costs, Granville Biomedical may contact the Customer regarding any required adjustment before proceeding with the affected order.

5. PAYMENT

Website orders may be paid using the payment methods displayed at checkout, which may include Visa, Mastercard, and PayPal.

Unless otherwise agreed in writing, payment is required before Products are shipped.

For Customers purchasing under approved invoicing or credit terms, Granville Biomedical reserves the right to charge applicable interest on overdue amounts in accordance with the terms stated on the applicable quotation, invoice, agreement, or as otherwise permitted by law.

6. CUSTOMS, DUTIES & TARIFFS

Granville Biomedical products manufactured in Canada are produced in accordance with applicable Canada–United States–Mexico Agreement (CUSMA/USMCA) requirements, where applicable. Granville Biomedical may provide applicable customs or origin documentation to support international shipments.

CUSMA/USMCA eligibility or compliance does not guarantee duty-free or tariff-free entry into a destination country. Customs treatment, tariff classification, duties, taxes, brokerage fees, and other import charges are determined by the applicable government and customs authorities and may change without notice.

International orders may be subject to customs duties, tariffs, import taxes, brokerage fees, or other charges. Unless expressly stated otherwise, these charges are the responsibility of the purchaser or recipient.

Customers are responsible for understanding applicable import requirements before ordering. Granville Biomedical does not control customs policies, tariff classifications, government-imposed fees, or changes to import regulations and cannot guarantee that an order will qualify for a particular tariff treatment, duty exemption, or import fee at the time of entry, including shipments entering the United States under CUSMA/USMCA.

7. IMPORT & EXPORT REQUIREMENTS

Customers are responsible for determining whether any import permits, licences, registrations, approvals, or other requirements apply to Products entering their country or jurisdiction.

Granville Biomedical's ability to ship internationally is subject to applicable Canadian export laws and the laws and regulations of the destination country.

Granville Biomedical is not responsible for delays resulting from customs clearance, import restrictions, regulatory requirements, or delays in obtaining required permits or approvals outside its reasonable control.

8. SHIPPING & DELIVERY

Orders are typically processed within 3–7 business days. Processing and shipping occur on business days, excluding Canadian statutory holidays.

Processing and delivery times are estimates only and may vary depending on order volume, product availability, order quantity, customization, destination, courier operations, customs clearance, and other circumstances outside Granville Biomedical's reasonable control.

Granville Biomedical does not guarantee processing, shipping, or delivery dates.

Where tracking is available, tracking information will be provided following shipment. Delivery dates provided by couriers are estimates and are subject to change.

Granville Biomedical is not responsible for courier delays, customs delays, weather events, service interruptions, or other circumstances outside its reasonable control.

9. INSPECTION UPON DELIVERY

Customers should inspect their order promptly upon delivery to confirm that the Products and quantities received are correct and that no Products appear to have been damaged during transportation.

Any apparent shipping damage, shortage, incorrect item, or other issue with the delivered order should be reported to Granville Biomedical within 7 days of delivery, together with photographs or other information reasonably requested to assess the issue.

Customers should retain the Products and original packaging until Granville Biomedical or the applicable courier confirms whether further inspection, return, or documentation is required.

10. RETURNS

Eligible Products may be returned within 30 days of the original purchase date, subject to Granville Biomedical's Return Policy.

Products must be unused, unaltered, and in their original, unopened packaging. All returns require prior authorization from Granville Biomedical.

Customers are responsible for return shipping, insurance, and safe delivery of returned Products unless the return results from an error by Granville Biomedical. Original shipping charges are non-refundable unless otherwise required by applicable law.

Certain customized, consumable, replacement, final-sale, or otherwise designated Products may not be eligible for return. Applicable restrictions will be identified in the product description or communicated prior to purchase.

11. PRODUCT WARRANTY

Granville Biomedical warrants its manufactured, non-consumable Products and components against defects in materials and workmanship for 90 days from the original date of purchase.

Where Granville Biomedical determines that a Product or component has a defect covered under this warranty, Granville Biomedical may, at its discretion, repair or replace the affected Product or component.

The warranty does not cover normal wear and tear, cosmetic changes resulting from use, accidental damage, misuse, improper handling, improper cleaning or storage, unauthorized modification, or use inconsistent with the Product's intended purpose or supplied instructions.

Certain Products contain consumable or replaceable components designed to experience wear or changes in material properties through repeated use. These components, including replaceable silicone uterine, cervical, or similar components, are not covered by the standard warranty for deterioration resulting from normal use.

The lifespan of consumable or replaceable components may vary according to frequency of use, technique, instruments or devices used, handling, storage, and other conditions of use. Granville Biomedical does not guarantee a specific number of uses or procedures for such components.

This exclusion does not apply where Granville Biomedical determines that a consumable or replaceable component was defective at the time it was supplied.

Nothing in this warranty is intended to exclude or limit any rights or remedies that cannot lawfully be excluded under applicable law.

12. INTENDED USE

Unless expressly stated otherwise, Granville Biomedical Products are designed and sold for education, demonstration, simulation, and training purposes.

Products are not intended for implantation, diagnosis, treatment, or direct clinical use on patients unless expressly identified by Granville Biomedical for such use.

Customers are responsible for ensuring Products are used by appropriately trained individuals and in accordance with all supplied product instructions, care information, warnings, and intended-use information.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Granville Biomedical will not be liable for indirect, incidental, special, consequential, or economic losses arising from the purchase, use, misuse, inability to use, transportation, or storage of its Products, including loss of revenue, profits, business opportunity, or data.

Granville Biomedical is not responsible for loss, injury, or damage resulting from misuse, improper handling, unauthorized modification, failure to follow supplied instructions, or use of a Product outside its stated intended purpose.

Nothing in these Terms and Conditions excludes or limits liability where such liability cannot lawfully be excluded or limited.

14. INTELLECTUAL PROPERTY

All intellectual property associated with Granville Biomedical Products, including applicable inventions, designs, patents, patent applications, trademarks, copyrights, drawings, product specifications, instructional materials, photographs, processes, and other proprietary materials, remains the property of Granville Biomedical Inc. or its applicable licensors.

Purchase of a Product does not transfer any intellectual property rights to the Customer.

Granville Biomedical's proprietary materials may not be copied, reproduced, reverse engineered, distributed, disclosed, or used for commercial replication without prior written authorization, except where otherwise permitted by applicable law.

15. CUSTOM PRODUCTS

Where Products are designed, manufactured, modified, or customized according to specifications supplied by a Customer, the Customer is responsible for ensuring that materials, designs, specifications, trademarks, or other intellectual property supplied by the Customer do not infringe the rights of third parties.

Additional terms may apply to custom development or manufacturing projects and will be communicated separately where applicable.

16. FORCE MAJEURE

Granville Biomedical will not be responsible for a failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, fire, war, civil unrest, labour disruptions, transportation or courier disruptions, supply-chain interruptions, shortages, government actions, changes in law or regulation, customs restrictions, public-health emergencies, or delays or refusals relating to necessary import or export approvals.

Granville Biomedical's obligations will be suspended for the duration and to the extent reasonably affected by such circumstances.

17. ASSIGNMENT

Customers may not assign or transfer their rights or obligations relating to an order or agreement with Granville Biomedical without Granville Biomedical's prior written consent.

18. SEVERABILITY

If any provision of these Terms and Conditions is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

19. GOVERNING LAW

These Terms and Conditions and applicable sales transactions will be governed by the laws applicable to Granville Biomedical Inc. and the applicable laws of Canada, without limiting any mandatory rights a Customer may have under laws that cannot legally be excluded by agreement.

20. PERSONAL INFORMATION

Personal and transactional information collected in connection with purchases is handled in accordance with Granville Biomedical's Privacy Policy.
